Terms of Use

These Terms of Use ("Terms") govern the use of the Termatica platform ("Platform", "Service"), operated by Mupi Systems LTDA ("we", "our", "company"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the Service.

Termatica is a software as a service (SaaS) platform that allows:

• Criar, gerenciar e versionar documentos legais
• Control acceptance of terms, contracts, and policies
• Gerar relatórios de compliance e auditoria
• Integrar com outros sistemas através de API REST

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without prior notice.

3. User Registration and Account

To use the Service, you must create an account by providing accurate, complete, and up-to-date information. You are responsible for:

• Maintain the confidentiality of your access credentials
• All activities that occur under your account
• Notify us immediately of any unauthorized use of your account.
• Ensure that all information provided is accurate and up to date.

We reserve the right to suspend or terminate accounts that violate these Terms or that are used fraudulently or abusively.

4. Uso Aceitável

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in a manner that violates any applicable law or regulation.
• Violate third-party intellectual property rights
• Transmit viruses, malware, or any malicious code
• Attempting to access any part of the Service or related systems without authorization
• Use the Service to send spam, phishing, or misleading content.

• Reproduce, duplicate, copy, sell, or commercially exploit any part of the Service.

5. Propriedade Intelectual

The Service and all content, including but not limited to software, design, texts, graphics, images, logos, icons, and compilations of data, are the property of the company or its licensors and are protected by copyright laws, trademark laws, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your internal business purposes, in accordance with these Terms.

You retain all rights to the documents and data that you create, store, or process through the Service. By using the Service, you grant us a license to use, store, and process your data solely to provide and improve the Service.

6. Plans, Payments, and Renewal

6.1 Plans: We offer different subscription plans. Details about plans, prices, and features are available on our website. We reserve the right to modify prices with 30 days' prior notice.

6.2 Payments: Payments are processed through secure third parties. You agree to provide accurate payment information and authorize us to charge the amounts due according to your selected plan.

6.3 Automatic Renewal: Unless you cancel, your subscription will be automatically renewed at the end of each billing period. You will be charged in advance for the next period.

6.4 Refunds: Refunds are handled on a case-by-case basis. Generally, we do not offer refunds for periods already used, except as required by law.

6.5 Cancellation: You can cancel your subscription at any time through your account settings. The cancellation will take effect at the end of the current billing period.

7. Availability and Uptime

We strive to keep the Service available 24/7, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Technical or infrastructure failures
• Force majeure or events beyond our control
• Cyber attacks or security breaches

Our goal is to maintain an uptime of 99.9%, but we do not guarantee this level of availability. We will not be responsible for losses resulting from the unavailability of the Service.

• WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST 12 MONTHS.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; therefore, some of the above limitations may not apply to you.

9. Indenização

You agree to indemnify, defend, and hold harmless the company, its directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including attorney's fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party rights; or (iv) any content that you submit, post, or transmit through the Service.

10. Privacidade

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you agree to the collection and use of information in accordance with the Privacy Policy.

12. Termination

You can close your account at any time through the account settings or by contacting us.

We may suspend or terminate your account immediately, without prior notice, if you:

• Use the Service in a fraudulent or illegal manner
• Not paying due fees
• Remain inactive for an extended period (as defined in our policy)

Upon termination, your right to use the Service will cease immediately. You may export your data prior to termination, as permitted by the functionalities of the Service.

13. Applicable Law and Jurisdiction

These Terms are governed by the laws of Brazil. Any dispute related to these Terms will be resolved exclusively in the competent courts of Montes Claros, Minas Gerais, Brazil. You agree to the personal jurisdiction and venue of these courts.

14. General Provisions

14.1 Completeness: These Terms constitute the entire agreement between you and the company regarding the use of the Service.

14.2 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.

14.5 Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, strikes, or infrastructure failures.
